TenantBridge Direct Beta Participant Agreement

Effective Date: June 2026

Note: This Direct Beta Participant Agreement currently governs use of the TenantBridge platform during the beta period. A standalone public Terms of Service will be implemented in connection with public launch.

This Direct Beta Participant Agreement (“Agreement”) is entered into between TenantBridge LLC, an Ohio limited liability company (“TenantBridge,” “Company,” “we,” “us,” or “our”), and the individual or entity identified as the Beta Participant (“Beta Participant,” “Participant,” “you,” or “your”). By signing or accessing the Beta Services, Participant agrees to be bound by this Agreement.

1. Purpose of the Beta Program

TenantBridge is developing and testing a property management software platform designed for small landlords.

The purpose of this beta program is to:

  • Evaluate platform functionality;
  • Identify bugs and usability issues;
  • Gather product feedback;
  • Improve performance and user experience prior to public launch.

Participant understands that the Beta Services are pre-release software and may contain errors, defects, interruptions, or incomplete functionality.

2. Beta Term

The beta testing period begins on the date Participant is granted access to the Beta Services and continues for ninety (90) days unless earlier terminated pursuant to this Agreement (“Beta Period”).

TenantBridge may extend, shorten, suspend, or terminate the Beta Period at its discretion.

3. Access to Beta Services

During the Beta Period, Participant will receive access to the TenantBridge platform at no charge.

Participant may use the Beta Services solely for evaluating the platform in connection with Participant's property management activities.

The Beta Services may include:

  • Property management tools;
  • Tenant management features;
  • Maintenance request workflows;
  • Document storage;
  • Expense and mileage tracking;
  • Tenant invitation functionality;
  • Voice and SMS notification features (where available);
  • Other functionality made available by TenantBridge during the Beta Period.

Certain features may be modified, disabled, added, or removed at any time.

4. Feedback Requirement

As consideration for free participation in the Beta Program, Participant agrees to provide meaningful feedback regarding the Beta Services.

Feedback may be submitted by:

  • Email;
  • Completion of periodic surveys;
  • Bug reports;
  • Feature suggestions;
  • Usability comments;
  • Other communications requested by TenantBridge.

TenantBridge expects at least one meaningful feedback submission during each monthly feedback cycle of the Beta Period.

A short survey may be provided as a reminder or prompt.

Failure to provide feedback may result in removal from the beta program or loss of eligibility for the free-for-life benefit described in Section 5.

TenantBridge may provide one reminder notice before determining that the feedback requirement has not been satisfied.

5. Free-for-Life Founding Beta Benefit

Participants who:

  1. Complete the Beta Period; and
  2. Satisfy the feedback requirements of this Agreement;

shall receive a complimentary TenantBridge subscription for as long as:

  • TenantBridge continues offering the platform; and
  • Participant maintains an active account in good standing.

This benefit is personal to the Participant and may not be transferred, assigned, sold, or sublicensed.

The free-for-life benefit may be revoked if Participant:

  • Violates this Agreement;
  • Abuses the platform;
  • Engages in fraudulent conduct;
  • Misuses TenantBridge systems; or
  • Fails to maintain an active account in good standing.

TenantBridge may permit Beta Participants to refer prospective users to the platform during the Beta Period. Because Beta Participants do not pay subscription fees during the Beta Period, referral-program discounts do not apply during beta participation. Nothing in this Agreement prohibits Beta Participants from recommending or endorsing the platform to others.

Following successful completion of the Beta Period, TenantBridge welcomes and encourages Participants to continue providing feedback regarding platform functionality, usability, and future enhancements.

6. Early Withdrawal

Participant may discontinue participation at any time.

If Participant voluntarily leaves the beta program before completion of the Beta Period:

  • Participant forfeits eligibility for the free-for-life subscription benefit;
  • Participant may later return as a regular paying customer; and
  • Any future subscription will be subject to then-current pricing and terms.

7. Participant Responsibilities

Participant agrees to:

  • Provide accurate registration information;
  • Use the platform lawfully;
  • Maintain appropriate backups of critical business information;
  • Evaluate the platform in good faith;
  • Promptly report material bugs or issues discovered during testing.

Participant remains solely responsible for:

  • Property management decisions;
  • Tenant communications;
  • Legal compliance;
  • Accounting and tax obligations;
  • Rent collection activities; and
  • Compliance with federal, state, and local laws.

8. Tenant-Facing Features

Certain platform features may involve interaction with tenants, including:

  • Tenant invitations;
  • Maintenance request systems;
  • Payment collection integrations;
  • Voice or SMS notifications; and
  • Other tenant-facing communications.

Participant has sole discretion whether to utilize such features.

If Participant elects to use tenant-facing functionality, Participant represents and warrants that Participant has obtained any legally required permissions, notices, disclosures, and consents necessary to use such features.

Participant is solely responsible for compliance with:

  • Landlord-tenant laws;
  • Privacy laws;
  • Consumer protection laws;
  • TCPA requirements;
  • Communication consent requirements; and
  • Any other applicable legal obligations.

9. Beta Software; No Reliance

Participant acknowledges that the Beta Services are experimental and pre-release.

The Beta Services may:

  • Contain defects;
  • Produce inaccurate results;
  • Experience outages;
  • Lose data;
  • Generate unexpected behavior; or
  • Fail to perform as intended.

Participant agrees not to rely upon the Beta Services as the sole source of any critical business, financial, legal, accounting, property management, or tenant-related information.

10. Confidentiality

TenantBridge encourages Participants to discuss their experience with the platform and to recommend the platform to others.

However, Participant agrees not to publicly disclose:

  • Non-public platform vulnerabilities;
  • Security weaknesses;
  • Unreleased features;
  • Screenshots or recordings of unreleased functionality;
  • Technical implementation details;
  • Known bugs during an active remediation cycle.

Nothing in this Agreement prohibits Participant from:

  • Identifying themselves as a beta tester;
  • Discussing general experiences with the platform;
  • Providing testimonials;
  • Recommending TenantBridge to others.

11. Feedback Ownership

Participant grants TenantBridge a perpetual, irrevocable, worldwide, royalty-free right to use, modify, incorporate, display, reproduce, commercialize, and otherwise exploit any feedback provided during the Beta Program.

Participant will receive no compensation for feedback unless separately agreed in writing.

12. Intellectual Property

TenantBridge and its licensors retain all rights, title, and interest in and to:

  • The platform;
  • Software;
  • Source code;
  • Databases;
  • Documentation;
  • Designs;
  • Trademarks;
  • Logos; and
  • Related intellectual property.

No ownership rights are transferred to Participant.

13. Data and Privacy

Participant acknowledges that use of the Beta Services may involve the collection and processing of information submitted to the platform.

Participant authorizes TenantBridge to use Beta Program data for:

  • Testing;
  • Debugging;
  • Product improvement;
  • Analytics;
  • Security monitoring; and
  • Platform operations.

TenantBridge may modify data handling procedures during the Beta Period as the platform evolves.

Upon successful completion of the Beta Period and continued use of the platform, Participant's account may transition to standard customer status and become subject to TenantBridge's then-current Terms of Service and Privacy Policy. Until separate Terms of Service are implemented, this Agreement may continue to govern Participant's use of the Services.

14. Disclaimer of Warranties

THE BETA SERVICES ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND WITH ALL FAULTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TENANTBRIDGE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING:

  • MERCHANTABILITY;
  • FITNESS FOR A PARTICULAR PURPOSE;
  • TITLE;
  • NON-INFRINGEMENT;
  • ACCURACY;
  • RELIABILITY; AND
  • UNINTERRUPTED OPERATION.

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TENANTBRIDGE SHALL NOT BE LIABLE FOR ANY:

  • INDIRECT DAMAGES;
  • INCIDENTAL DAMAGES;
  • SPECIAL DAMAGES;
  • CONSEQUENTIAL DAMAGES;
  • LOSS OF PROFITS;
  • LOSS OF REVENUE;
  • LOSS OF DATA;
  • BUSINESS INTERRUPTION; OR
  • LOSS OF GOODWILL.

TENANTBRIDGE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF THIS AGREEMENT SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).

16. Indemnification

Participant agrees to defend, indemnify, and hold harmless TenantBridge LLC and its officers, members, managers, employees, contractors, and agents from claims arising out of:

  • Participant's use of the Beta Services;
  • Participant's violation of law;
  • Participant's landlord-tenant activities;
  • Participant's communications with tenants; or
  • Participant's breach of this Agreement.

17. Termination

TenantBridge may suspend or terminate Participant's access at any time, with or without cause.

Upon termination:

  • Access to the Beta Services may cease immediately;
  • Beta benefits may be forfeited if eligibility requirements were not satisfied; and
  • Sections intended to survive termination shall remain in effect.

18. Governing Law

This Agreement shall be governed by and construed under the laws of the State of Ohio, without regard to conflict-of-law principles.

Any dispute arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located in Montgomery County, Ohio, and each party consents to such jurisdiction.

19. Entire Agreement

This Agreement constitutes the entire agreement between the parties regarding the Beta Program and supersedes all prior discussions or understandings concerning the subject matter herein.

No modification shall be effective unless in writing and authorized by TenantBridge.

20. Electronic Acceptance

Electronic signatures and electronic acceptance shall be deemed legally binding and enforceable to the fullest extent permitted by applicable law.

21. No Legal, Accounting, or Property Management Advice

TenantBridge is a software platform only.

TenantBridge does not provide legal advice, accounting advice, tax advice, property management services, debt collection services, brokerage services, or professional consulting services.

Any forms, templates, checklists, workflows, articles, educational content, legal summaries, landlord resources, AI-generated content, or informational materials provided through the Beta Services are offered solely for informational and educational purposes.

Participant is solely responsible for obtaining independent legal, accounting, tax, financial, insurance, and other professional advice as Participant deems necessary.

No attorney-client, fiduciary, agency, property management, brokerage, or advisory relationship is created through use of the Beta Services.

22. Assumption of Risk & Beta Acknowledgment

Participant acknowledges and agrees that the Beta Services constitute pre-release software that has not undergone full commercial testing.

Participant understands and accepts that the Beta Services may contain bugs, errors, defects, security vulnerabilities, incomplete functionality, service interruptions, calculation inaccuracies, messaging failures, reporting errors, data corruption, data loss, or other unforeseen issues.

Participant further acknowledges that:

  • Features may be added, modified, disabled, suspended, or removed at any time during the Beta Period;
  • Platform availability may be intermittent;
  • Certain integrations or services may be unavailable, delayed, or operate in a limited-capability mode;
  • Communications sent through the platform may be delayed, blocked, filtered, misdirected, or fail entirely;
  • TenantBridge makes no guarantee regarding uptime, availability, reliability, accuracy, or performance of the Beta Services.

Participant voluntarily assumes all risks associated with participation in the Beta Program and agrees not to rely upon the Beta Services as the sole source of information for business, financial, accounting, legal, compliance, property management, tenant communication, or operational decisions.

Participant is solely responsible for maintaining independent records and backups of important business information.

23. Tenant-Facing Features Disclosure & Consent Certification

This Section applies whenever Participant elects to use any tenant-facing functionality available through the Beta Services.

Tenant-facing functionality may include:

  • Tenant invitations;
  • Tenant portals;
  • Maintenance request systems;
  • Rent payment systems;
  • Email notifications;
  • SMS notifications;
  • Voice alerts;
  • Emergency notifications;
  • Maintenance status updates; and
  • Other tenant communication features made available by TenantBridge.

Participant acknowledges and agrees that:

A. Responsibility for Compliance

Participant is solely responsible for ensuring compliance with all applicable federal, state, and local laws relating to:

  • Tenant communications;
  • Privacy and data protection;
  • Consumer protection;
  • Landlord-tenant obligations;
  • Electronic communications;
  • Telephone communications; and
  • Recordkeeping requirements.

B. Consent Requirements

Participant represents and warrants that Participant will obtain all notices, disclosures, authorizations, permissions, and consents required by applicable law before utilizing tenant-facing communication features.

Participant further represents and warrants that any tenant information uploaded into the Beta Services has been collected and provided lawfully.

C. SMS Communications

Participant understands that text messaging may be regulated by:

  • The Telephone Consumer Protection Act (“TCPA”);
  • Federal Communications Commission regulations;
  • Carrier requirements;
  • State consumer protection laws; and
  • Other applicable laws.

Participant agrees that:

  • SMS communications will only be sent to recipients for whom any required consent has been obtained;
  • Participant is responsible for maintaining records of such consent;
  • TenantBridge may rely upon Participant's representations regarding consent;
  • TenantBridge is not responsible for determining whether valid consent exists.

D. No Delivery Guarantee

Participant acknowledges that message delivery is dependent upon third-party telecommunications providers, email providers, internet service providers, carriers, and other external systems.

TenantBridge does not guarantee that any email, SMS message, voice notification, maintenance alert, payment notification, invitation, or communication will be delivered, received, or acted upon.

E. Indemnification for Tenant Communications

Without limiting Section 16, Participant agrees to indemnify and hold harmless TenantBridge from any claim, complaint, investigation, demand, penalty, regulatory action, or lawsuit arising from:

  • Tenant communications initiated by Participant;
  • Alleged lack of consent;
  • Alleged TCPA violations;
  • Alleged privacy violations;
  • Alleged consumer protection violations; or
  • Participant's use of tenant-facing functionality.

Required Beta Program Acknowledgment

Before access to the Beta Services is granted, Participant must affirmatively acknowledge the following:

  • I have read and understand this Direct Beta Participant Agreement.
  • I understand that the TenantBridge platform is beta software and may contain bugs, errors, service interruptions, security vulnerabilities, or incomplete functionality.
  • I voluntarily assume the risks associated with participation in a beta testing program.
  • I agree to provide meaningful feedback during the Beta Period as required by this Agreement.
  • I agree to be bound by this Direct Beta Participant Agreement.
